Terms and Conditions of Offer

A cancellation right (§ 355) is entitled to all long distance consumers within 14 days of the receipt of the product.  In order for cancellation to be valid and a refund given, the product in question must be returned (§ 356).

Validity:

All prices quoted are valid for the duration of the project, with a maximum period, however,
of 6 months from the date of quotation. This offer is for a complete system. Individual
components can only be considered separately after prior agreement with SIMI and on the
basis of a new offer. Deliveries are subject to proof of solvency or a bank guarantee.
All goods remain the property of SIMI GmbH until payment is received in full.

Prices:

All prices are exclusive of statutory taxes, travelling expenses and sales tax valid on the
day of invoicing.

Exchange Rate:

If a change of more than 5% in currency exchange rates occurs to our disadvantage,
we reserve the right to gain full compensation when invoicing customers.

Payment:

Based on the conditions separately detailed and agreed upon in the offer and/or the order
acknowledgement as well as in the actual invoice we only accept:
a) 100 % payment in advance or payment by irrevocable letter of credit made out to a
national bank.
b) Deliveries for all orders up to €500 must be paid for in advance or by cash on delivery

Rights

Use:

Delivery of the software entitles the recipient to its limited use for his own purposes only.
All other rights remain with SIMI GmbH.

Licenses:

Each software license entitles the licensee to use the software on a single computer. It is
not permitted to pass the software on to third parties and/or copy the software or to make
use of the data for financial gain without the agreement of SIMI GmbH and payment of the
license fees. The legal licensing provisions of SIMI GmbH apply.

Software Protection /Security
Please note that our software is provided with a hardware/cryptography based copy protection which is also for your own security. Loss of this copy protection (Hard lock) entails the purchase of a new software license.

Validity Period
The terms of this proposal are valid for a period of 25 days from the date of offer.

Warranty
A warranty based on the conditions granted by our hardware suppliers applies from the date of delivery.
Updates for optimizing and correcting the SIMI Reality Motion Systems GmbH software (no new developments or enhancements) are provided free of charge for a period of 6 months.

Delivery
Delivery from Unterschleißheim / and or Munich Airport.
Delivery within Germany is free of charge for all orders over €500 net.
Hardware: approx. 4-6 calendar weeks after placing and confirmation of order (dependent
upon supplier)
SIMI software: approx. 2-3 calendar weeks after written confirmation of order by SIMI, providing that no new or customized development work is required.

Service
It is possible to conclude a separate service and update contract with SIMI GmbH when ordering.
Prices are to be agreed upon separately, depending on the system/software package ordered.
Training and on-site services are charged for at a rate of €890 per day (plus travelling and other expenses), unless otherwise agreed upon in the offer.

General
This offer is subject to change without notice. The technology described and the prices specified in the offer are confidential information and the property of SIMI GmbH. It is strictly forbidden to make this available to third parties in any form whatsoever.
Amendments owing to errors and/or technical modifications can be made at any time.
